Terms & Conditions

These terms govern your engagement with Sapsin Phitak's legal services. We have written them in plain language where possible. If you have any questions, please contact us before proceeding.

Definitions

Throughout this document, the following terms carry the meanings set out below:

  • "Agreement" — these Terms & Conditions, together with any engagement letter or service confirmation.
  • "We / Us / Our / Firm" — Sapsin Phitak, a legal practice registered and operating in Bangkok, Kingdom of Thailand.
  • "You / Client" — the individual or entity engaging Sapsin Phitak for legal services.
  • "Services" — the inheritance, succession, and estate planning legal services described in Section 3.
  • "Website" — the Sapsin Phitak website accessible at sapsinph.pro.
  • "Content" — all materials, documents, advice, and written outputs provided by us in connection with the Services.
  • "Engagement" — the formal legal relationship established between you and the Firm upon mutual agreement of scope and fees.

Acceptance of Terms

By contacting us, submitting an enquiry, or engaging our Services, you confirm that:

  • You are at least 18 years of age, or are acting on behalf of a legal entity with proper authority.
  • You have the legal capacity to enter into a binding agreement under Thai law.
  • You have read, understood, and agree to be bound by these Terms.
  • If acting on behalf of another person or entity, you have authority to bind that party to these Terms.

These Terms apply alongside any specific engagement letter issued for your matter. In case of conflict, the engagement letter takes precedence.

Service Description

Sapsin Phitak provides inheritance and estate law services in Bangkok, Thailand. Our current service offering includes:

Estate Planning Consultation — ฿2,650

A confidential consultation to understand a family's situation and explain how their estate matters might be approached, in plain terms. Includes a written summary for the client's own reference.

Succession Documentation — ฿4,800

Careful preparation and review of succession documents, ensuring accuracy, validity, and clarity. The client retains full decision-making authority throughout.

Comprehensive Estate Support — ฿8,700

Continuing legal support for involved inheritance matters, including preparation, liaison, and representation. Scope and costs are agreed in advance.

Services are provided in Bangkok and primarily governed by Thai succession law (Civil and Commercial Code, Books I–VI). Geographic availability may vary; please contact us to discuss your specific situation.

Client Responsibilities

A successful engagement depends on good communication. You agree to:

  • Provide accurate, complete, and timely information relevant to your matter.
  • Notify us promptly of any changes in circumstances that may affect the advice or documents we prepare.
  • Review documents carefully and raise any concerns before signing or submitting them.
  • Cooperate with our requests for additional information or clarification.
  • Use materials we provide solely for the lawful purpose for which they were prepared.
  • Not share our advice or documents in ways that could mislead third parties or constitute unauthorised legal advice.
  • Pay agreed fees in accordance with the payment terms set out in Section 6.

The quality of our work depends on the accuracy of information you provide. We are not liable for outcomes arising from incomplete or inaccurate information supplied by you.

Intellectual Property

All methodologies, templates, precedents, and working practices developed by Sapsin Phitak remain our intellectual property. Documents prepared specifically for you and paid for in full become your property for the purpose for which they were created.

You may not reproduce, adapt, or redistribute our proprietary templates or methodologies for commercial purposes without our written consent. Website content, including text and design, is owned by Sapsin Phitak and may not be copied without permission.

Fees & Payment

  • Fees are quoted in Thai Baht (฿) and are inclusive of applicable taxes unless otherwise stated.
  • Fees are confirmed in writing at the start of each engagement; scope changes are discussed and agreed before additional work commences.
  • Payment terms are set out in the engagement letter for your matter.
  • Disbursements (court fees, official translation costs, third-party fees) are billed at cost and invoiced separately.
  • Late payment may result in work being paused pending settlement; we will inform you before taking this step.
  • Refunds, where applicable, are handled in accordance with the Consumer Protection Act B.E. 2522 and as set out in the engagement letter.

Service-Specific Terms

Consultations

Consultations provide general legal information and guidance based on the facts you present. A consultation alone does not create a full attorney-client relationship for the purposes of representation; that requires a separate engagement letter.

Documentation Services

We prepare documents based on information you provide. We will review drafts with you and make reasonable revisions within the agreed scope. Execution and submission of documents remain your responsibility unless representation is expressly included in your engagement.

Comprehensive Support

Scope, timeline, and fees for comprehensive estate support engagements are individually agreed in an engagement letter. We will keep you informed of progress and any developments that may affect scope or cost.

Confidentiality

We take confidentiality seriously. Information you share with us in the course of an engagement is treated as confidential and will not be disclosed to third parties except:

  • With your express consent.
  • Where required by law or court order.
  • To the extent necessary to perform the Services (e.g., liaising with authorities on your behalf).
  • Where required by professional obligations under Thai law.

Disclaimers

While we take care to provide accurate and considered advice:

  • Legal advice is based on the facts as presented to us and the law as it stands at the time of advice. Laws change, and past advice may not reflect later amendments.
  • General information on our Website does not constitute legal advice for your specific situation.
  • We cannot predict outcomes in court proceedings or with government authorities, and we do not promise particular results.
  • Our services are provided with reasonable professional care and skill in accordance with Thai legal standards.

Limitation of Liability

To the fullest extent permitted by Thai law:

  • Our liability for any claim arising from the Services is limited to the fees paid by you for the specific service giving rise to the claim.
  • We are not liable for indirect, consequential, or special damages, including loss of inheritance, delayed proceedings caused by third parties, or decisions made by courts or authorities.
  • We are not liable for outcomes resulting from incomplete or inaccurate information you have provided.
  • Force majeure events — including acts of government, natural events, or other circumstances beyond our reasonable control — excuse performance during the period of such events.

Nothing in this section limits liability for fraud, gross negligence, or wilful misconduct.

Indemnification

You agree to indemnify and hold Sapsin Phitak harmless from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of our Services, or any false or misleading information you have provided to us.

Termination

Either party may end an engagement by providing reasonable written notice. We will:

  • Return your documents and any materials that belong to you promptly.
  • Invoice for work completed to the date of termination.
  • Take steps to avoid prejudicing your legal position where possible.

Confidentiality obligations and any accrued payment obligations survive termination of the engagement.

Dispute Resolution

We prefer to resolve any concerns informally. If you have a concern:

  1. Please contact us in writing at [email protected] describing your concern.
  2. We will acknowledge your communication within 5 business days and aim to respond substantively within 15 business days.
  3. If informal resolution is not achieved, either party may refer the matter to the Thai Arbitration Institute or the courts of Bangkok.

These Terms are governed by the laws of the Kingdom of Thailand. The Thai Civil and Commercial Code and applicable professional regulations govern the conduct of legal services. Courts of competent jurisdiction in Bangkok have exclusive jurisdiction over disputes.

General Provisions

  • Entire Agreement: These Terms and any engagement letter constitute the entire agreement between the parties for the Services described.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Our failure to enforce a right does not constitute a waiver of that right in future.
  • Assignment: You may not assign your rights under these Terms without our prior written consent.
  • Language: These Terms are provided in English. In case of conflict with any translated version, the English text governs.
  • Notices: Written notices may be sent by email to the address provided in the engagement letter or to [email protected].

Changes to These Terms

We may update these Terms from time to time to reflect changes in law, our services, or best practice. When we make material changes:

  • We will update the "Last Updated" date at the top of this page.
  • For active engagements, we will notify you directly.
  • Continued use of our Services after notice of changes constitutes acceptance of the revised Terms.
